C.1 Termos de Serviço

PART C.1 — TERMS OF SERVICE

This page forms part of Part C (ODIX Deposit by Card). It explains how the Terms of Service of our card-purchase partner, a licensed on/off-ramp partner (the "Card Purchase Partner"), applies when you use Deposit by Card in the ODIX Pay App, and summarises its main points.

Important: this is a summary prepared by ODIX for your convenience. The legally binding document is the Card Purchase Partner's Terms of Service, which is shown to you at checkout before you accept it and is available on request from support@odixpay.com. If this summary and the partner's document differ, the partner's document applies.

1. HOW THIS RELATES TO ODIX

ODIX makes Deposit by Card available in the ODIX Pay App. The service itself — the card payment, the exchange and the delivery of Digital Assets to your ODIX Wallet — is provided entirely by the Card Purchase Partner, which for customers in the United Kingdom and the European Economic Area is a company of its group established in the European Union.

When you make your first deposit, the Card Purchase Partner asks you to accept its Terms of Service. From that moment you have a direct contract with the Card Purchase Partner for the service. ODIX is not a party to that contract.

The Card Purchase Partner acts as the principal: it sells the Digital Assets to you and sends them to the address of your ODIX Wallet. ODIX does not set the price, receive your card payment or execute the order.

Once the Digital Assets arrive in your ODIX Wallet, they are held under our General Terms and Part A. The Card Purchase Partner's Terms of Service then no longer govern how you use them in ODIX.

2. WHO OUR CARD PURCHASE PARTNER IS

The Card Purchase Partner's EU company is an EU-established company authorised by its national competent authority in the EU as a crypto-asset service provider under MiCA and as a payment institution under PSD2.

For a transitional period, card payment infrastructure may be operated by another company in the Card Purchase Partner's group. This does not create a contract between you and that company; the company of the Card Purchase Partner's group shown to you before you confirm an order remains responsible to you.

3. ELIGIBILITY AND YOUR ACCOUNT WITH THE CARD PURCHASE PARTNER

You must be at least 18 (or the age of majority where you live, if higher), have full legal capacity, not have had an account with the Card Purchase Partner suspended or closed before, act only for yourself, and not be subject to EU, UN, US or UK sanctions.

You must not live in a jurisdiction that the Card Purchase Partner treats as restricted. These include Afghanistan, Belarus, Central African Republic, Chad, Cuba, Democratic Republic of Congo, Ethiopia, Equatorial Guinea, Gabon, Guinea-Bissau, India, Iran, Iraq, Lebanon, Libya, Mali, Myanmar, Nicaragua, North Korea, Palestine, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen, Western Sahara and the US states of Louisiana and New York. The Card Purchase Partner's terms do not apply to US persons.

The Card Purchase Partner must complete its customer due diligence before you can place orders. It may ask for more information at any time and may refuse to open an account or process an order if checks are not completed.

You may normally hold only one account with the Card Purchase Partner. You must keep your details accurate, keep your login secure, and never share your screen while logged in. The Card Purchase Partner will never ask for your password.

4. PROHIBITED USE

You must not use the service for illegal activity, to impersonate anyone, to hide your location with a VPN or proxy, for gambling, drugs, weapons, fraud or terrorist financing, for dark-web activity, for dealings with sanctioned persons, or to abuse card systems. A breach can lead to suspension or closure of your account with the Card Purchase Partner.

5. ORDERS

Before you confirm, the Card Purchase Partner shows you the order type, the company of the Card Purchase Partner's group you are dealing with, the fees and any limits. Minimum and maximum limits apply and depend on your verification level, country and risk profile.

An order becomes binding when the Card Purchase Partner confirms it. Prices shown outside an active quote are indicative only. A quote is valid only for the period shown; after that a new price is shown and nothing is executed without your confirmation.

The Card Purchase Partner aims to process orders promptly but does not guarantee timing. It may delay an order, for example if it suspects fraud, if networks are congested, if your instructions are wrong or if Travel Rule information is missing.

The Card Purchase Partner may refuse an order if it would break the law or its policies, if the risk is unacceptable, or if funds are insufficient. It may cancel or reverse an order if it breaches the law or the terms, if there is an obvious technical pricing error, or if a customer abuses the platform.

If you give wrong information (for example a wrong wallet address), you bear the costs of any refund or correction.

6. BUYING DIGITAL ASSETS

When you buy Digital Assets, the Card Purchase Partner is the counterparty to your trade, not your agent. Because the Card Purchase Partner acts as principal, MiCA best-execution rules do not apply and its prices may differ from other venues.

An order to buy is complete when the Card Purchase Partner transfers the Digital Assets to the wallet you chose — for Deposit by Card, your ODIX Wallet.

7. TRANSFERS AND THE TRAVEL RULE

The Card Purchase Partner must collect and pass on information about the sender and recipient of crypto-asset transfers under Regulation (EU) 2023/1113 (the "Travel Rule"). It may refuse, delay or return a transfer if this information is incomplete or cannot be verified.

Transfers are generally irreversible once confirmed on the blockchain. You are responsible for the destination address and network. Network fees are passed on to you and shown before you confirm.

8. ELECTRONIC MONEY TOKENS

If you buy a stablecoin that is an electronic money token (for example USDC or EURC), the Card Purchase Partner does not issue it; it only buys, sells, holds or transfers it for you. You must report an unauthorised or incorrect transaction without undue delay and no later than 13 months after it was debited. Your liability for unauthorised transactions is generally limited to EUR 50 unless you acted fraudulently or with gross negligence.

9. FEES AND TAXES

The Card Purchase Partner's fees are shown before you place an order and are due once the Card Purchase Partner accepts it. You are responsible for your own taxes. The Card Purchase Partner may have to report transactions to tax authorities and may withhold tax where the law requires.

10. SUSPENSION AND TERMINATION

The Card Purchase Partner monitors activity continuously and may review, delay or freeze any order, deposit or withdrawal. It may restrict specific services, freeze account functions or suspend the account in full, for example for a breach, a legal requirement, suspected fraud or money laundering, unauthorised access, false information, a dispute over ownership or serious risk. It will tell you unless the law prevents it.

You may close your account with the Card Purchase Partner at any time unless it is frozen, money is owed or an order is pending. The Card Purchase Partner may close an account immediately for an important reason, including excessive chargebacks, and may leave a market or stop a service with at least one month's notice, unless the law requires faster action. After closure you have a period to withdraw remaining assets.

11. LIABILITY

The Card Purchase Partner does not guarantee uninterrupted access and may carry out maintenance. It is not liable for indirect or consequential loss, loss of profit or loss of data, except for fraud, wilful misconduct or where the law does not allow exclusion. Claims can only be brought against the company of the Card Purchase Partner's group that entered into the transaction. You agree to indemnify the Card Purchase Partner for losses caused by your fraud, negligence or breach.

The Card Purchase Partner's terms include risk disclosures. Do not buy Digital Assets unless you are prepared to lose all the money you spend.

12. CHANGES

The Card Purchase Partner will give you at least one month's notice of a material change by email or another durable medium (two months for payment services). If you do not object you are treated as accepting it, and you may terminate before it takes effect. Minor changes can take effect immediately.

13. DATA PROTECTION AND COMPLAINTS

The Card Purchase Partner processes your personal data under its Privacy Policy (see C.2). Complaints go to the Card Purchase Partner's complaints channel shown at checkout (or via support@odixpay.com), free of charge; the Card Purchase Partner aims to reply within 15 business days (see C.5).

14. FULL DOCUMENT AND QUESTIONS

The complete Terms of Service of the Card Purchase Partner is shown to you at checkout before you accept it and is available on request from support@odixpay.com. The Card Purchase Partner may update it at any time; the version it currently publishes is the one that applies.

Questions about the card-purchase service go to the Card Purchase Partner through the support channels shown at checkout, or via support@odixpay.com. Questions about the ODIX Pay App go to us at support@odixpay.com.
