1. HOW THIS RELATES TO ODIX

ODIX obtains the payment processing behind ODIX Money Transfer from the Payments Partner under a contract. ODIX is the Payments Partner's "Account Holder"; ODIX customers who send money through the App are not account holders of the Payments Partner and have no direct contract with the Payments Partner. ODIX remains responsible to you for the service under Part E.

The terms below that apply to the partner entity ODIX contracts with (British Columbia law and the safeguarding rules that apply to that entity) are the ones that apply to the ODIX arrangement.

These General Account Holder Terms set the rules between the Payments Partner and ODIX. Many of them affect how your transfers are handled — for example compliance checks, holds and reversals — and those points are reflected in Part E.

2. PARTNER COMPANIES AND LICENCES

The partner company is chosen according to the account holder's country:

(a) a partner company regulated by its local regulator as a major payment institution;

(b) the partner company that ODIX contracts with, registered with the competent regulators in its jurisdiction as a money services business and payment service provider; and

(c) a partner company licensed by its local authority as a money service operator.

For other countries, the Payments Partner chooses one of these companies and tells the account holder when the account is approved.

3. SERVICES

The Payments Partner offers a payment gateway, global collection accounts, payouts (local transfers and SWIFT), escrow, institutional accounts for providers that offer the Payments Partner's services to their own clients, and in some cases virtual asset on-ramp and off-ramp services. An account with the Payments Partner is "not a bank account" but a non-cash payment facility.

4. COMPLIANCE CHECKS

Account holders must carry out their own customer due diligence, and the Payments Partner may carry out further checks. Requests for information must normally be answered within five business days. The Payments Partner may delay, decline, hold or, within 180 days, reverse a payment if activity is suspicious or the law or a court requires it.

5. PROHIBITED USE

Fraud, money laundering, terrorist financing, sanctions breaches, cyberattacks and misuse of the services are prohibited, together with the businesses listed in the Acceptable Use Policy (see E.4). The Payments Partner may refuse or void suspicious transactions.

6. FEES, SET-OFF AND RESERVES

Fees follow the Payments Partner's fee schedule. The Payments Partner may set off amounts owed to it, and may require a reserve, which is released when the risk is mitigated or after 180 days, whichever is earlier. Disputes about a settlement amount must be raised within seven business days.

7. FOREIGN EXCHANGE

The Payments Partner sets exchange rates at its discretion and may add a margin. Rates are not guaranteed and a different rate may apply at settlement or on a refund.

8. SAFEGUARDING

Depending on the partner company, customer money is safeguarded with a safeguarding institution or under the safeguarding rules that apply to that company, is not covered by any deposit insurance scheme and earns no interest. One partner company does not safeguard funds or provide stored value; balances held with it must be used within 30 days.

9. LIABILITY AND INDEMNITY

Services are provided "as is". The Payments Partner's liability to the account holder is capped at the fees paid in the six months before a claim, with indirect losses excluded, except for fraud, death or personal injury, gross negligence or wilful breach. The account holder indemnifies the Payments Partner for misuse and breaches.

10. SUSPENSION, TERMINATION AND DORMANT ACCOUNTS

The Payments Partner may terminate with 30 days' notice, or immediately in cases such as breaches, legal or security risks or suspicious activity. Accounts inactive for three months may be marked inactive, and balances inactive for 24 months may be treated as abandoned property under the law.

11. COMPLAINTS, LAW AND DISPUTES

Complaints go to the partner contact address set out in its terms. The governing law and the arbitration forum depend on the partner company and are specified in the partner's terms; for the partner company ODIX contracts with, British Columbia law and arbitration in British Columbia apply.

12. CHANGES

The Payments Partner may change its terms by posting a new version. Material changes, such as to fees or liability, require the account holder's acceptance.

13. FULL DOCUMENT AND QUESTIONS
