PART D — ODIX EARN

This Part D applies when you use ODIX Earn in the ODIX Pay App. It must be read together with the General Terms and our Terms & Conditions. Words with capital letters have the meanings given in the General Terms.

Important: ODIX offers Earn to you, but the vault strategies behind it are managed entirely by our yield strategy partner. ODIX obtains this service from a third-party strategy curator partner (the "Strategy Partner") under a contract and makes it available to eligible ODIX customers in the App. The Strategy Partner manages the strategies; ODIX does not manage, control or guarantee them.

2. WHO PROVIDES THE SERVICE

2.1 ODIX makes Earn available to you in the App and is the company you deal with for your ODIX Account, your Wallet and your access to Earn.

2.2 The vault strategies are managed by our yield strategy partner (the "Strategy Partner"), a third-party strategy curator partner that provides risk management and DeFi vault curation services. ODIX has contracted with the Strategy Partner to provide these services for ODIX Earn. The strategies run on third-party smart contracts and vault infrastructure that neither ODIX nor the Strategy Partner owns or controls in full.

2.3 ODIX confirms that it offers Earn to you and that the Strategy Partner is the provider that manages the strategies. ODIX does not give investment advice and does not act as your portfolio manager.

3. STRATEGY PARTNER TERMS AND PRIVACY

3.1 The Strategy Partner's own Terms of Service and Privacy Policy apply to the Strategy Partner's products and to any personal data the Strategy Partner processes. Each has its own page in this Legal centre, with a summary and an explanation of how it relates to ODIX:

3.2 The Strategy Partner may change its documents from time to time. The versions published by the Strategy Partner are the current ones.

4. YOUR ACKNOWLEDGEMENTS

You further acknowledge and agree that:

(a) Earn products are not bank deposits, savings accounts, fixed income products, securities, financial products, insurance products, or guaranteed investment products;

(b) Earn products are not protected by any deposit guarantee scheme, financial compensation scheme, investor protection scheme, insurance scheme, or similar protection arrangement;

(c) Odix does not guarantee any yield, APY, reward, return, profit, principal protection, repayment, liquidity, redemption timing, availability of funds, or uninterrupted access to the Earn feature;

(d) any APY, yield, reward rate, estimated return, projected return, historical performance, performance metric, or other information displayed in connection with the Earn feature is provided for informational purposes only, may change at any time, and does not constitute a promise, guarantee, commitment, representation, warranty, financial advice, investment advice, or recommendation by Odix;

(e) your Digital Assets may be exposed to significant risks, including but not limited to smart contract risk, protocol risk, market risk, volatility risk, liquidity risk, oracle risk, slashing risk, validator risk, bridge risk, governance risk, cybersecurity risk, hacking, exploit risk, operational risk, regulatory risk, counterparty risk, third-party provider risk, and total or partial loss of Digital Assets;

(f) transactions involving Digital Assets and blockchain networks may be irreversible, and Odix may not be able to recover Digital Assets that are lost, transferred, locked, compromised, misdirected, or otherwise affected due to the use of the Earn feature or Third-Party Vault Services;

(g) Odix does not provide investment, financial, legal, tax, accounting, trading, portfolio management, asset management, custody, brokerage, fiduciary, or advisory services in connection with the Earn feature;

(h) no information displayed through the Website, the application, the Earn feature, or any communication from Odix should be treated as a recommendation, solicitation, offer, endorsement, or advice to deposit, stake, lend, supply, invest, allocate, hold, withdraw, or otherwise use Digital Assets;

(i) you are solely responsible for assessing whether the Earn feature is suitable for you, taking into account your financial situation, knowledge, experience, risk tolerance, jurisdiction, legal restrictions, tax position, and any other relevant circumstances;

(j) you are solely responsible for reviewing, understanding, and accepting any third-party terms, conditions, risk disclosures, privacy notices, and policies applicable to the Third-Party Vault Services, including, where applicable, the relevant Strategy Partner Terms of Service and/or any applicable terms or documentation of the third-party vault infrastructure;

(k) Third-Party Vault Services may be modified, suspended, restricted, discontinued, deprecated, migrated, upgraded, or terminated at any time by the relevant third-party provider, protocol, governance mechanism, blockchain network, or other external party, with or without prior notice;

(l) Odix may suspend, restrict, disable, limit, or terminate access to the Earn feature at any time, with or without notice, including for compliance, regulatory, legal, security, operational, technical, third-party provider, risk management, sanctions, AML/CTF, fraud prevention, or market integrity reasons;

(m) Odix shall not be liable for any loss, damage, delay, failed transaction, reduced yield, loss of yield, loss of rewards, loss of profit, loss of principal, loss of Digital Assets, inability to access funds, inability to withdraw, smart contract failure, protocol failure, third-party act or omission, cybersecurity incident, exploit, hack, validator event, slashing event, oracle failure, governance action, regulatory action, market movement, liquidity shortage, or any other loss arising from or related to your access to or use of the Earn feature or any Third-Party Vault Services, except to the extent such liability cannot be excluded under applicable law;

(n) your access to and use of the Earn feature remains subject to all AML/CTF, sanctions, fraud prevention, KYC, KYB, risk management, prohibited activity, and restricted jurisdiction controls applied by Odix from time to time;

(o) you must not access or use the Earn feature if you are located in, resident of, incorporated in, established in, a citizen of, or otherwise connected to any jurisdiction where Odix does not provide the relevant service, where the Earn feature is restricted, or where such access or use would be unlawful or would require Odix or any third-party provider to obtain additional licences, registrations, approvals, or authorisations;

(p) without limiting the generality of the foregoing, the Earn feature is not offered, marketed, directed, or made available to users located in or resident in any Prohibited Country or restricted jurisdiction listed in these Terms and Conditions, including the United Arab Emirates, and Odix may apply technical, operational, onboarding, transaction, deposit, withdrawal, phone number, geo-location, IP address, identity document, residency, or other controls to prevent access from restricted jurisdictions;

(q) Odix may require you to provide additional information, documents, declarations, confirmations, acknowledgements, source of funds information, source of wealth information, tax information, residency information, wallet ownership information, or other information before allowing access to, or continued use of, the Earn feature;

(r) Odix may require you to accept additional risk disclosures, third-party terms, vault terms, protocol terms, or transaction confirmations before you access, deposit into, withdraw from, or otherwise use the Earn feature;

(s) if any conflict arises between these Terms and Conditions and the terms of any third-party provider, the stricter restriction, higher compliance standard, or more protective risk limitation may be applied by Odix at its sole discretion, without prejudice to any rights Odix may have under these Terms and Conditions.

Before using the Earn feature, you must carefully review all applicable risk notices and third-party terms. By continuing to access or use the Earn feature, you confirm that you understand and accept the risks described above and agree that you are using the Earn feature entirely at your own risk.

5. COMPLAINTS

5.1 Questions or complaints about ODIX Earn, your Wallet or the App should be sent to us at support@odixpay.com. Where a complaint concerns the management of a strategy, we will raise it with the Strategy Partner under our contract.
